General terms and conditions

At the core of our client relationship is mutual trust and respect. We believe in working with our clients in a fair, reasonable, and transparent manner. However, we understand that sometimes issues may arise that cannot be resolved through simple communication. Then we rely on the formal terms and conditions outlined on this page.

Applicability

The Terms apply to all agreements between the Parties. Deviations from the Terms shall be in writing. If Team-composer adopts a new version of these Terms and Conditions, they also apply to existing agreements.

The applicability of (purchase) conditions the Client uses is explicitly rejected.

Subscription and Payment

Customers must first subscribe to our service to access the software application. The subscription fee will depend on the type of plan they choose and the duration of the subscription period. Payment for the subscription can be made by following the instructions of Team-composer. Subscriptions must be paid upfront.

It is important to note that our customers’ employees with administrative rights are authorized to scale up or down the number of subscriptions at any time during the subscription period. This allows our customers to adjust their subscriptions to meet their changing needs without interruption in service.

However, it is important to note that once a subscription has been initiated, it can only be terminated at the end of the respective subscription period. 

Any added subscription will start immediately and end after its subscription period has expired. Customers are responsible for managing their subscriptions and ensuring they have the necessary licenses to use the software application.

Non-Exclusive Use Rights

Customers are granted non-exclusive use rights to our service by subscribing to the software application. This means that they can use the application but do not own it. The software application remains the property of our company and cannot be resold, transferred, or sublicensed to any third party.

Restrictions on Use

Customers must use the software application following the terms of use and applicable laws and regulations. They cannot use the application for illegal, fraudulent, or unethical purposes. Customers are also prohibited from reverse engineering, decompiling, or modifying the software application.

In addition to the above terms, it is essential to note that customers are not permitted to use the test results or assessment reports generated by our software application to evaluate the work performance of team members or prospective team members. Our service is intended to assist with team composition and collaboration, not to be used as a tool for performance evaluation or any other employment-related decisions.

Customers are solely responsible for complying with all applicable laws and regulations related to employment practices and are not permitted to use our service in any manner that violates such laws or regulations. We reserve the right to terminate the service of any customer who violates this provision, and we will not be liable for any damages resulting from such termination.

Data Protection

We take data protection very seriously and have implemented appropriate measures to protect customer data. However, customers are responsible for ensuring that the data they enter into the software application is accurate, up-to-date, and does not infringe any third-party rights.

Limitation of Liability

We provide our service on an “as is” basis and do not provide any warranty or guarantee that the software application will be free from errors, defects, or interruptions. We will not be liable for any direct, indirect, or consequential damages arising from the use or inability to use our service.
